These Terms of Service ("Terms") govern your access to and use of the services provided by Sphere Health Inc. ("Sphere Health," "we," "us," or "our"), including our website, health assessments, telehealth consultations, and ongoing care plans.
By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.
Service description
Sphere Health provides the following services:
- Online health assessments — Guided questionnaires designed to evaluate your symptoms and health history across conditions including obesity, PCOS, fertility, and perimenopause.
- Telehealth consultations — One-to-one video consultations with specialist clinicians who review your assessment results and blood work, and develop a personalized treatment plan.
- Ongoing care plans — Continuous clinical support including regular check-ins, prescription management, progress tracking, and treatment adjustments.
Eligibility
To use our services, you must:
- Be at least 18 years of age
- Be a resident of the United States
- Provide accurate and complete information during registration and health assessments
- Have the legal capacity to enter into a binding agreement
We reserve the right to refuse or terminate service if eligibility requirements are not met or if information provided is found to be inaccurate.
Account responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Providing accurate, current, and complete health information in assessments and consultations
- Notifying us promptly of any unauthorized use of your account
You may not share your account with others or allow others to access our services using your credentials. We are not liable for any loss arising from unauthorized use of your account.
Medical disclaimer
Sphere Health services are not a substitute for professional medical advice, diagnosis, or treatment.
The health assessments, insights, and recommendations provided through our platform are intended for educational and informational purposes. They are designed to complement, not replace, the relationship between you and your primary healthcare provider.
- Always consult a qualified healthcare provider with any questions about a medical condition.
- Never disregard professional medical advice or delay seeking it because of information received through Sphere Health.
- If you are experiencing a medical emergency, call 911 or your local emergency services immediately.
- Our AI-generated insights are based on the information you provide and published clinical research. They are not a definitive diagnosis.
Payment terms
Pricing
- Health assessments are provided at no cost.
- Consultations are $249 per session, payable at the time of booking.
- Ongoing care is $99 per month, billed monthly. The cost of prescribed medication is not included and varies by treatment.
Refund policy
- Consultations are non-refundable if cancelled within 24 hours of the scheduled appointment time. Cancellations made more than 24 hours before your appointment are eligible for a full refund.
- Ongoing care subscriptions can be cancelled at any time. Your access will continue through the end of the current billing period. No partial refunds are issued for the remaining days in a billing cycle.
All payments are processed securely through Stripe. We do not store your payment card details on our servers. Prices are in US dollars and may be updated with 30 days' notice.
Intellectual property
All content, technology, trademarks, and materials available through our services — including text, graphics, logos, software, assessment tools, and AI models — are the property of Sphere Health Inc. or its licensors and are protected by US and international intellectual property laws.
You may not:
- Copy, modify, distribute, or create derivative works based on our content or technology without our written permission
- Reverse engineer, decompile, or attempt to extract the source code of our software or AI systems
- Use our trademarks, logos, or brand elements without prior written authorization
- Scrape, crawl, or use automated means to access our platform beyond what is permitted by our robots.txt file
Limitation of liability
To the maximum extent permitted by applicable law, Sphere Health Inc., its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, including but not limited to:
- Loss of profits, data, or other intangible losses
- Health outcomes or decisions made based on information provided through our services
- Interruption or unavailability of our services
- Unauthorized access to or alteration of your data
Our total aggregate liability for all claims related to the services shall not exceed the total amount you paid to Sphere Health in the 12 months preceding the claim.
Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Dispute resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the use of our services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
- Arbitration will take place in Wilmington, Delaware, or remotely at your election.
- You agree to resolve disputes on an individual basis. Class actions and class arbitrations are not permitted.
- The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Termination
You may close your account at any time by contacting us. Upon termination:
- Your right to access and use our services will cease immediately
- Active subscriptions will not be renewed, and access will continue through the end of the current billing period
- We will retain your health records as described in our Privacy Policy
We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if continued provision of services is no longer feasible. We will provide notice before termination where practicable.
Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and notify you via email or a prominent notice on our platform at least 30 days before the changes take effect. Your continued use of our services after the effective date constitutes acceptance of the revised Terms.
